Robert has assisted publicly traded and privately held companies, hedge funds and family funds in a variety of general corporate and securities law matters. His practice focuses on advising clients in connection with debt and equity financing transactions, representing both companies in their capital raising activities and the financial institutions and other investors that provide capital to these companies. Robert routinely counsels clients in the structuring and negotiation of secured and unsecured debt financing transactions, including senior and subordinated debt facilities, loan syndications and participations. In addition, Robert has substantial experience advising issuers and investors in equity capital and other securities offerings, including PIPEs and other private placements, rights offerings, exchange offers, and Regulation A+ public offerings. Robert also has experience handling a broad range of general corporate matters and transactions, including advising on corporate governance matters and negotiating and drafting limited liability company agreements, joint venture, and other commercial agreements.
Robert received his J.D. from Columbia Law School and holds a B.A. from Brown University.
Prior to joining Olshan, Robert was a corporate associate at Cahill Gordon & Reindel LLP and a legal intern at the Division of Enforcement of the Commodity Futures Trading Commission.
