Robert Gagne

With impressive debt and equity deal experience, Robert Gagne advises leading companies, investors, and financial institutions on a wide range of corporate and securities law matters.

As a former commodity trader, Robert brings an understanding of risk management and a business-minded approach to his practice, striving to help his clients navigate legal issues efficiently to meet their specific needs and objectives. Robert focuses his practice on debt and equity financing transactions, representing both companies in their capital raising activities and the financial institutions and other investors that provide capital to these companies. He routinely counsels clients in the structuring and negotiation of secured and unsecured debt financing transactions, including senior and subordinated debt facilities, loan syndications and participations. He also advises issuers and investors in connection with various equity capital offerings, including public offerings, PIPEs and other private placements, rights offerings, and exchange offers.

In addition, Robert has substantial experience handling a broad range of general corporate matters and transactions, including advising on corporate governance issues and negotiating and drafting limited liability company agreements, joint venture, and other commercial agreements.

  • Represented ATW Partners in connection with a $36 million secured convertible loan investment in Nauticus Robotics, Inc. (Nasdaq: KITT), a developer of ocean robots, autonomy software, and services to the marine industries. The investment was consummated by ATW Partners and other investors in connection with the company’s de-SPAC merger combination with CleanTech Acquisition Corp., a special-purpose acquisition company.
  • Represented the Kaufman Organization in its $120 million acquisition of a Flatiron District office building in a joint venture with the French insurance firm AXA Financial.
  • Advised an operator of boutique veterinary hospitals in its execution of a $50 million line of credit facility in connection with a reorganization of the company’s business structure involving the consolidation of 15+ veterinary practices.
  • Advised Argentum in connection with a $5 million seed investment in WarrCloud, a first-of-its-kind provider of technology-enabled auto warranty processing services.
  • Represented Metro One Telecommunications, Inc., the holding company of Shelfy.io, a next-gen, instant mobile commerce platform, in a series of bridge financing capital raises involving the issuance of promissory notes, capital stock, and warrants.
