Richard M. Quatrano

Richard Quatrano advises public and private companies and high-net-worth individuals on middle-market M&A transactions, securities matters, and day-to-day “outside general counsel” corporate matters.

Established middle-market companies, startups, and individuals from throughout the Americas, Europe, and Asia call on Richard to handle a wide range of their domestic and cross-border transactional matters from inception to close. He has extensive experience in mergers and acquisitions, securities and general commercial matters, regularly handling middle-market mergers and acquisitions transactions in the tens and hundreds of millions of dollars.

Reliable and responsive, Richard’s approach centers on paying close attention to the needs of his clients and then effectively navigating the parties’ competing goals. Known for his calm composure, organization, and business-focused practical solutions, Richard provides strategic counsel that helps move transactions and matters forward.

Fluent in Spanish and professionally proficient in Portuguese, Richard worked for leading U.S. and Latin America law firms before joining Olshan.

Mergers & Acquisitions
  • Represented a Mid-Atlantic construction equipment leasing and sale company in the nine-figure sale of all of its outstanding stock to a publicly traded company.
  • Represented a military computing and display solutions designer and producer in the eight-figure sale of all of its equity to a defense technology platform formed by a private equity firm.
  • Represented leading manufacturer and developer of electric vehicle (EV) charging infrastructure solutions in North America in the $200 million merger with a strategic seller resulting in the client’s acquisition of 13,000 EV chargers, an additional 3,800 site host locations, and more than 150,000 registered EV driver members.
  • Represented a publicly traded insurance company in the $40 million sale of its excess and surplus lines operations to a strategic acquirer. The transaction was composed of nine business units within the client’s specialty commercial business segment. It included the sale of an agency subsidiary and relationships, related intellectual property and leases, and the transition of approximately 200 employees.
  • Represented a top Northeast and Mid-Atlantic provider of rental equipment in its acquisition of a prominent regional company’s aerial equipment assets and service operations.
  • Represented a paperboard packaging printer and manufacturer in the sale of all of its outstanding stock to a private equity firm.
  • Represented a dairy products distributor in the sale of substantially all of its assets to a private equity firm.
Venture Capital Transactions
  • Represented a cybersecurity company in its seven-figure series seed financing round with an investment from a venture capital firm.
  • Represented a biotechnology company in its Series B financing round with investments from a hospital’s venture capital division, Chinese investment fund, Brazilian investment fund, and other investors.
Additional Transactions
  • Represented an automobile parts e-commerce company in the redemption of a member’s membership interest pursuant to the company’s LLC operating agreement.
  • Represented a marketing consulting company and its stockholder in the partial redemption and partial purchase of another stockholder’s common stock.
  • Represented a marketing, advertising, and production company in negotiating several services agreements with recognized media outlets, not-for-profit organizations, and politicians.
  • Represented individuals in the transfer of equity in their individual names to trusts for their benefits or their family members’ benefits for estate planning purposes.
