Mark Kiley

Mark Kiley provides strategic guidance to hedge funds and other investors on shareholder activism, proxy contests, mergers and acquisitions, corporate governance, and related matters. He also advises clients on public filings with the SEC, including Section 13 and Section 16 filings.

Mark represents investment funds in proxy contests, withhold campaigns, board engagements, settlement negotiations, and hostile takeovers. He also advises on Schedule 13D investments in public companies and corporate governance matters. Diligent, strategic and responsive, Mark helps investors understand their rights as stockholders, amplify their voices, and make informed decisions with respect to taking an activist approach.

With a strong knowledge of U.S. proxy rules, regulatory compliance requirements, and the views of proxy advisers and institutional investors, Mark assesses each target company’s corporate governance and profile to identify the full range of options and potential vulnerabilities. In each instance, Mark strives to fully understand the issues his clients face and their goals. Using this information he can help clients determine the best course of action to advance their interests.

Before joining Olshan, Mark was an examiner with FINRA for six years. In that role, he planned and executed regulatory examinations of U.S. broker/dealers.

  • Represented Chatham Asset Management in its successful acquisition of R.R. Donnelley & Sons Company following its unsolicited bid to acquire the company.
  • Represented Starboard Value in its proxy contest in connection with Huntsman Corporation’s 2022 annual stockholders’ meeting.
  • Represented Ancora Advisors in its settlement for board representation at Berry Global Group, Inc.
  • Represented Ancora Advisors in its settlement for board representation at Mueller Water Products, Inc.
  • Represented Indaba Capital Management in its settlement for board representation at ON24 Inc.
  • Represented RCF Management in its successful campaign for leadership change at IAMGOLD.
