Pale Fire Capital Reaches Agreement with Groupon for Board Representation

Olshan client Pale Fire Capital reached an agreement with Groupon, Inc. pursuant to which Groupon agreed to appoint Dusan Senkypl, Chairman of the Board of Pale Fire Capital, to Groupon’s board of directors and as a member of its Executive Committee. Groupon further agreed to appoint Jan Barta, Chairman of the Supervisory Board of Pale Fire Capital, initially as a board observer and then as a director no later than November 30, 2022. Ryan Nebel, Ian Engoron, and Mark Kiley represented Pale Fire Capital in connection with its investment in Groupon.
