John A. Corrado

John Corrado represents clients in wide-ranging commercial transactions and securities matters.

John assists companies in connection with initial public offerings, secondary public offerings, and private placements and guides them through complex issues related to stock listings, regulatory compliance and filings, corporate governance matters, and public disclosures. His experience also includes representing clients in mergers, acquisitions, stock and asset purchases and dispositions, venture capital financings and other capital raising transactions, and a variety of other complex commercial transactions.

John excels in legal research, stays current on legal developments and trends, and keeps clients appraised of regulatory changes. He has both the knowledge and experience needed to tackle tough questions on complicated areas of law.

  • Represented Alleghany Corporation in its $500 million public offering of 3.625% senior notes.
  • Represented Contrarian Capital Management in connection with its hostile third-party tender offer for trust interests in Woodbridge Liquidation Trust.
  • Represented GAMCO Investors in filing a new-shelf registration statement and resale registration statement.
  • Represented ImmunityBio, Inc. (Nasdaq: IBRX) in its approximately $40 million acquisition of a leasehold interest in a pharmaceutical manufacturing space in Western New York and certain related assets from Athenex, Inc. (Nasdaq: ATNX).
  • Represented P10, Inc. (NYSE: PX) in its $240 million initial public offering of shares of its Class A common stock.
  • Represented Alleghany Capital Corporation subsidiary R.C. Tway Company, LLC (dba Kentucky Trailer), in its acquisition of a majority interest in CEI Equipment Company LLC.
  • Represented The LGL Group in connection with distributing a warrant dividend to holders of its common stock.
  • Represented Quest Resource Holding Corporation in a registered direct offering of common stock to fund future acquisitions.
  • Represented Alleghany Capital Corporation subsidiary Precision Cutting Technologies, Inc., in its acquisition of a majority interest in Supermill LLC.
  • Represented Alleghany Capital Corporation subsidiary Precision Cutting Technologies, Inc. in its acquisition of a majority interest in Coastal Industrial Distributors, LLC.
  • Represented Vajra Funds in its series A preferred stock investment in Trayt Health Inc.
