Zachary E. Freedman

Dedicated and hardworking, Zachary Freedman assists in securities and general corporate matters, with a focus on securities offerings and M&A transactions.

Zach handles a variety of corporate matters as a member of the Corporate/Securities Group. He assists companies in connection with initial public offerings, secondary offerings, regulatory compliance, and corporate governance matters. He also assists publicly traded and privately held companies with mergers and acquisitions, financing transactions, and a variety of other commercial transactions.

When working on a matter, Zach leaves no stone unturned until he finds a solution to a problem. Clients and Olshan team members benefit from Zach’s attention to detail and his willingness to give what it takes to ensure he provides clients and the firm with top-level service.  

Before and during law school, Zach worked as a paralegal at the Brooklyn District Attorney’s Office where he assisted a dozen attorneys on a daily basis with vehicular crime related cases. He learned how to handle many different matters at once on any given day and how to work collaboratively and effectively to achieve a common goal.

  • Assisted on the team that represented ImmunityBio, Inc. (Nasdaq: IBRX) in its approximately $40 million acquisition of a leasehold interest in a pharmaceutical manufacturing space in western New York and certain related assets from Athenex, Inc. (Nasdaq: ATNX).
  • Assisted Blink Charging Co. (Nasdaq: BLNK) in connection with its $250 million ATM offering of its common stock with six investment banking firms, Barclays Capital Inc., BofA Securities, Inc., HSBC Securities (USA) Inc., ThinkEquity LLC, H.C. Wainwright & Co., LLC, and Roth Capital Partners, LLC.
  • Assisted Ault Disruptive Technologies Corporation (NYSE American: ADRT) in its $115 million initial public offering.
  • Worked on the team that represented a hedge fund in connection with an approximately $640 million underwritten secondary offering and concurrent share repurchase.
  • Helped Kaufman Astoria Studios with the sale of the historic, century-old studios to the joint venture of Hackman Capital Partners and Square Mile Capital Management.
  • Assisted P10, Inc. (NYSE: PX) in its $240 million initial public offering of shares of its Class A common stock.
  • Assisted Alleghany Corporation in its $500 million public offering of 3.250% Senior Notes.
  • Worked on the team that represented Jeffrey R. Westphal in connection with a $23 million secondary registered block trade offering of shares of Class A common stock of Vertex, Inc. (Nasdaq: VERX), underwritten by Goldman Sachs & Co. LLC.
  • Helped Alzamend Neuro, Inc. (Nasdaq: ALZN) with its $14.4 million initial public offering of shares of its common stock.
  • Served on the team that represented Anebulo Pharmaceuticals, Inc. (Nasdaq: ANEB) in its $21 million initial public offering of shares of its common stock.
