Olshan Advises Browning West on Its Agreement with Cooper Companies for Two New Directors

Olshan client Browning West reached a cooperation agreement with Cooper Companies, a global medical device company, for the appointment of Walter M. Rosebrough, Jr. as an independent director and giving due consideration to naming him board chair by the end of 2026. Mr. Rosebrough will serve on the board’s Corporate Governance & Nominating Committee. Browning West and Cooper Companies have also mutually agreed to appoint a new independent director with medical technology experience. Olshan Co-Managing Partner and Chair of the firm’s Shareholder Activism Practice Andrew Freedman, Shareholder Activism partner Dorothy Sluszka, Shareholder Activism associate Nikoleta Holevas and law clerk Joshua Becker represented Browning West in this matter.
