Feldman Publishes Article in Wolters Kluwer's Securities Regulation Daily on the Disclosure Requirements of Director and Officer Professional Biographies

Olshan Corporate partner Spencer Feldman published an article in Wolters Kluwer's Securities Regulation Daily on August 29, 2017, entitled "Practice Pointers for Better Disclosure of Director and Executive Officer Professional Biographies in SEC Filings." In the article, Mr. Feldman reviews the disclosure requirements of Item 401 of Regulation S-K and provides first-hand advice on how public companies can improve the disclosure of director and officer biographies in SEC filings. In his view, there is no section in a registration statement, proxy or Form 10-K that is as inconsistent in presentation as the professional biographies of executive officers and directors, with bios ranging from a single sentence to half a page of puffery. He advises that Item 401 contains specific requirements relating to this disclosure, and discusses ways in which companies can ensure consistent, proper, and appropriate compliance so that investors and stockholders can evaluate management and provide them with relevant information to make informed investment and voting decisions.
