Harvard Law School Forum on Corporate Governance, the top online resource for discourse on corporate governance, recently published an article authored by Co-Chair of the firm’s Shareholder Activism practice Andrew Freedman, Partner Kenneth Mantel, and Associate Ian Engoron entitled “Universal Proxy Rules: Roadmap for Annual Meetings.” The article discusses the new U.S. Securities and Exchange Commission universal proxy rules for director elections set to take effect for stockholder meetings held after August 31, 2022.
