Olshan Authors Chambers Overviews in Shareholder Activism, Litigation, Real Estate and Advertising

Shareholder Activism partner Kenneth Mantel authored the article “New York: A Corporate/M&A: Shareholder Activism Overview,” wherein he provides an overview of the shareholder activism landscape in the U.S., and discusses key trends and insights from Olshan’s experience as the leading law firm representing activist investors. Ken writes, “Shareholder activism has established itself as a highly effective counterbalance to the power of corporate boards – a means to hold directors not acting in the best interests of shareholders accountable, refresh boards with skilled new directors, and drive value for all shareholders.”
Litigation partners Peter Sartorius and Joseph Weiner authored both the “New York: An Overview” and “New York: A Litigation: General Commercial Overview.” In the “New York: An Overview” article, Peter and Joe analyze the recent Second Circuit decision in Leadenhall Capital Partners LLP v. Advantage Capital Holdings LLC, which reaffirmed that federal courts generally lack the power to grant pre-judgment injunctions seeking to freeze a defendant’s assets. They explain, “To invoke a federal court’s equity jurisdiction to restrain assets pre-judgment, [] a plaintiff must seek relief tied to particular, identifiable property – such as restitution, disgorgement or the imposition of a constructive trust – not merely the satisfaction of a general monetary obligation.” In the “New York: A Litigation: General Commercial Overview” article, Peter and Joe examine how the Commercial Division of the Supreme Court of the State of New York is taking an increasingly strict approach to determining which cases qualify for assignment to the division. “Although some cases fall squarely within the requirements for designation to the Commercial Division,” they write, “others seem ripe for adjudication by this specialized business court but do not fit neatly within these requirements. Each year, numerous cases that, on the surface, involve complex business disputes are rejected for designation.”
Real Estate partner Gregory Jaske authored the article “New York: A Real Estate Overview: Mainly Dirt,” wherein he provides an overview of the New York real estate market in 2026, highlighting the continued recovery from the COVID-era downturn and noting that performance varies significantly by asset class and property quality. Greg writes that “Office leasing continues to thrive for best-in-class assets and demand continues to be strong enough to broaden strong rent growth for next-in-class (by geography and by quality) office assets.”
Andrew Lustigman, Chair of Olshan's Advertising, Marketing & Promotions Group and Co-Chair of the firm’s Brand Management & Protection Group, authored the article “USA - Nationwide: An Advertising: Transactional & Regulatory Overview.” In the article, Andy discusses how advertising regulation and enforcement in the United States are evolving under the current federal administration and why advertisers still face significant compliance risks despite changes at the federal level. Topics that Andy explores in the article include how the FTC remains important despite its curtailed authority and how the agency’s enforcement priorities have shifted, including its approach to AI-related matters and “drip pricing”; how subscription and recurring-payment programs face intense scrutiny; the ways in which state, local and self-regulatory enforcement are becoming more important; and how National Advertising Division of the Better Business Bureau (NAD) referrals may create greater enforcement exposure. Andy concludes that, while federal advertising enforcement may look different than it did in recent years, advertisers should not become complacent: “As such, advertisers must remain vigilant in their compliance efforts, regardless of who may be the enforcer.”
