Ken has extensive experience counseling clients in connection with public offerings, private placements and mergers and acquisitions. He counsels hedge funds, venture capital funds and start-ups in connection with their formation and capital raising. He also represents both publicly traded and privately held companies as buyers and sellers in M&A transactions. Ken regularly advises clients regarding corporate governance, general corporate, executive compensation and securities law matters, including the preparation and filing of Exchange Act reports.

Andrew counsels clients regarding a broad range of matters, including the clearance of advertising and marketing materials, the structuring of sweepstakes, games of skill, and other contests, the development of social media programs and direct marketing campaigns from a compliance standpoint, and the resolution of regulatory, competitor, intellectual property and privacy matters. According to Chambers USA, clients report, “He’s the one guy in the industry I’d go to. Every single issue in advertising, compliance, litigation, whatever—he does it all, and he does it well.” A significant portion of Andrew’s practice involves review of advertising and promotional campaigns to help ensure compliance with substantiation requirements and relevant legal standards.

Erik has a broad background in corporate and securities law, representing private and public companies from seed-stage start-ups to mature public companies. Erik counsels entrepreneurs on the formation of their companies, structuring of equity capitalization and negotiation of angel, seed and venture capital financings. He also advises corporate clients on public offerings, debt financings and merger and acquisition transactions as well as a range of corporate and governance issues. Aside from his corporate clients, Erik’s practice also includes counseling venture capital and institutional investors with respect to their portfolio investments. Erik has experience counseling clients in a variety of industries, including internet technology, hardware and robotics, consumer products, financial services, hospitality and retail.

Honghui has assisted publicly traded and privately held companies in mergers and acquisitions, capital raising transactions, and other securities law and compliance matters, including SEC reporting requirements and corporate governance. In addition, Honghui has advised early-stage companies on issues involving formation and financing. Prior to joining Olshan, she was a legal intern at the Division of Enforcement of the Securities and Exchange Commission.
