Darin Mathew

As a member of Olshan’s Shareholder Activism Practice, Darin Mathew assists clients on shareholder rights, complex regulatory matters and emerging issues in asset stewardship.

Darin brings a unique blend of legal insight, financial analysis and strategic advisory experience to his practice, with a focus on corporate governance, investment management and ESG compliance. His strong foundation in both legal research and capital markets helps him guide clients through today’s complex financial and regulatory landscapes.

Serving as a Legal Intern in the Division of Enforcement at the U.S. Securities and Exchange Commission, Darin investigated corporate issuers for misleading public disclosures in periodic filings (e.g., 10-Ks, 10-Qs, 8-Ks) under the Exchange Act, including material misstatements and omissions under 10b-5, drafted subpoenas and legal memoranda as part of investigations into individuals and entities suspected of securities law violations, including Section 17 of the Securities Act and reviewed and annotated financial statements and MD&A sections to identify red flags, inconsistencies or potential misstatements in accordance with Regulation S-K Item 303. Darin was also an Asset Stewardship Intern at State Street Global Advisors in Boston, where he reviewed fund regulatory documents and investment management agreements and helped guide governance-related engagement with portfolio companies.

Darin also gained extensive proxy advisory experience at Sodali & Co (formerly Morrow Sodali), a global shareholder engagement consultancy. In the roles Proxy Consulting Associate and Analyst, he advised on more than 30 high-profile de-SPAC transactions, including Polestar, DraftKings, WeWork and 23andMe, and provided strategic guidance on ESG disclosures, SEC reporting obligations and shareholder activism defense. He also advised on executive compensation issues for major institutional investors such as BlackRock, Vanguard and State Street.

Darin was a summer associate at Olshan in 2024 before joining the firm full-time.
