Anthony J. Boccamazzo

A skilled litigator, Anthony Boccamazzo has extensive experience representing clients in complex commercial and M&A-related litigation and arbitration matters across the United States.

Anthony has more than a decade of experience advising public companies, private equity firms, portfolio companies and individuals in a broad range of industries, including financial services, real estate, manufacturing and life sciences. While he is particularly adept at advising investors, accounting firms and financial advisory firms on disputes regarding M&A transactions, Anthony has advised on matters as diverse as fraud, contractual indemnification claims, earn-outs, working capital adjustments, escrow disputes, customer and supplier disputes, environmental and real estate disputes.

Regularly serving as first- or second-chair on disputes in state and federal courts, including the Delaware Court of Chancery, the Southern District of New York and the New York Supreme Court, Anthony also has substantial experience with private arbitrations before JAMS and the American Arbitration Association. He represents clients through all phases of the litigation, arbitration and mediation process, from initial strategy and discovery to trial, appeal and settlement.

Before joining Olshan, Anthony was litigation counsel at a leading international law firm.

When not practicing, Anthony often volunteers his time to local youth organizations.

  • Leading American brewing company in post-acquisition earn-out dispute with sellers of acquired company.
  • Large government contractor in multimillion-dollar post-acquisition dispute including claims of fraud and breach of contract. After extensive discovery, the matter settled on terms favorable to client on the eve of trial.
  • Seller of top-of-the-line, competition level bass boat manufacturer in post-closing dispute against major retailer that asserted claims for fraud and breach of contract. After a five-day bench trial, the Delaware Chancery Court found in favor of client on all counts.
  • Global pharmaceutical company in a dispute over the calculation of “net sales” related to an earnout calculation following the acquisition of a pharmaceutical company.
  • Private equity firm in asserting post-closing breach of contract claims against an acquirer and its financial sponsor arising out of the sale of a technology-based portfolio company, resulting in a favorable settlement achieved during trial.
  • Global pharmaceutical company in an M&A dispute over the acquisition of New Jersey-based pharmaceutical company.
  • Private equity firm and its executives and portfolio company management team in defending against fraud and breach of contract claims brought by a financial purchaser arising out of the sale of a distribution-based portfolio company, resulting in a favorable settlement on the eve of a four-week trial.
  • Private equity portfolio company in a breach of contract dispute with automotive supply company.
