Andrew Astore advises companies and investors on all aspects of public and private mergers and acquisitions, board engagement, capital raises, investor activism, corporate governance matters, public offerings and exit transactions.
Andrew represents founders, early-stage companies, investors, and hedge funds in connection with venture capital investments, debt and equity financings, corporate finance, and securities, general corporate, and commercial matters. Combining legal acumen with a business-savvy perspective, he devises successful activist investor campaign strategies and guides clients through proxy contests, hostile takeover bids, and securities law matters.
Before joining Olshan, Andrew gained valuable legal experience at renowned firms. He focused on corporate governance and M&A matters at Kleinberg, Kaplan, Wolff & Cohen, P.C., and worked on a wide range of capital markets and M&A deals at Cravath, Swaine & Moore LLP. During law school, he interned for the Honorable Randy Sue Marber of the Supreme Court of New York, Nassau County.
- Represented Findell Capital Management in its multi-year engagement, proxy campaign and settlement at Oportun Financial Corporation, resulting in the addition of three Findell-identified industry experts to Oportun’s board of directors and the declassification of the board.
- Represented Ancora Holdings in its withhold campaign at Forward Air, resulting in the resignation of the three directors targeted by Ancora.
- Represented shareholders of Ionic Digital, Inc. in their nomination and settlement at Ionic Digital, with respect to which the clients won a landmark victory in Delaware court re-opening the company’s director nomination window, and which resulted in the addition of two independent directors to Ionic Digital’s board.
- Represented Oaktree Capital Management in its entry into a relationship agreement with Indivior PLC, pursuant to which Indivior agreed to appoint two new independent non-executive directors and to make certain other changes to its board and committees.
- Represented AREX Capital Management in its nomination and proxy contest at Enhabit, Inc., resulting in the election by Enhabit’s shareholders of a new independent director nominated by AREX to the board.
- Represented Scalar Gauge Fund in its nomination and settlement at Zuora, Inc., pursuant to which Zuora agreed to the appointment of a new independent director to its board.
- Represented 325 Capital in its engagement with Motorcar Parts of America, Inc., resulting in the election of Anil Shrivastava, managing partner of 325 Capital, to the company’s board of directors.
