Jack W. Meara

Jack Meara helps guide hedge funds and other investors in shareholder activism, proxy contests, mergers and acquisitions, corporate governance, and other related matters.

Working closely with the various members of both the Corporate/Securities and Shareholder Activism Groups, Jack has assisted on numerous high-profile campaigns, providing significant support to partners throughout the months-long proxy campaigns and helping to contribute to their success.

He works on investor engagements, withhold and letter-writing campaigns, consent and exempt solicitations, and also assists in the context of settlement negotiations, hostile takeovers, and other activist-related M&A activities. Olshan teams rely on Jack to conduct pre-investment governance research and analyses, prepare nomination and business proposal notices, SEC filings including those required under Sections 13 and 16, and proxy statements. He also prepares NDAs and related shareholder agreements and helps out on post-campaign integration matters.

  • Assisted in representing Land & Buildings in the first contested proxy contest under the SEC’s new rules regarding universal proxy card voting, in which Olshan secured a seminal victory for one seat on the board of Apartment Investment & Management Co. at its 2022 annual meeting.
  • Assisted in representing Donerail Group LP in a proxy contest to obtain full control of Turtle Beach Corporation’s board through the election of six director nominees at its 2022 annual meeting, which resulted in Donerail Group entering into a cooperation agreement with Turtle Beach whereby five of Donerail’s designees were subsequently appointed to the nine-member board.
  • Assisted in representing Sachem Head Capital Management LP in a proxy contest for control of the board and composition of the executive management of US Foods Corporations at its 2022 annual meeting, which resulted in three of Sachem Head’s nominees being appointed to US Foods’ board as well as the successful transition to a new Chief Executive Officer for US Foods. US Foods is one of the largest food distributors in the United States with a net worth of more than $8 billion.
  • Assisted in representing Macellum Capital Management in two highly publicized campaigns in 2021 and 2022, respectively, at Kohl’s Corporation, which is one of the largest department store chains in the United States.
  • Assisted in representing Sheldon Razin, the founder of NextGen Healthcare, Inc., and then-current chairman of its board, in a prominent proxy campaign for an alternative slate of director candidates, including another member of Nextgen’s board, at the 2021 annual meeting, which included 13 proposals that were presented to shareholders at the annual meeting.
  • Assisted in representing Capital Returns Management, LLC in its nearly year-long proxy campaign at Argo Group International Holdings, Ltd., a Bermuda-based international specialized insurance underwriter with a net worth exceeding $1 billion, whereby Capital Returns attempted to replace two members of Argo’s board.
