Olshan Activist Client Legion Partners Enters Into Agreement With RCM Technologies

Olshan activist client Legion Partners Asset Management has entered into a settlement agreement with RCM Technologies to provide for, among other things, the re-election of its two director nominees at the 2014 annual meeting of stockholders, certain bylaw amendments, the retirement of the CEO, and the voluntary dismissal with prejudice of the outstanding litigation between RCM and Legion Partners. In December 2013, Legion Partners was successful in its election campaign against RCM at the 2013 annual meeting of stockholders, with stockholders supporting the election of Legion Partners’ two director nominees and business proposal to separate the roles of Chairman and CEO. The Olshan team representing Legion Partners in the settlement agreement and 2013 election contest included Steve Wolosky, Elizabeth Gonzalez-Sussman, Meagan Reda and Ryan Nebel.
