Feldman Quoted in Law360 On SEC’s Recent 10-K Rule Amendment

Corporate Partner Spencer Feldman was quoted in the June 2, 2016 Law360 article entitled “SEC Amends 10-K Rule To Make Annual Reports User Friendly.” The SEC approved an interim rule designed to ease the readability of corporate disclosures by allowing public reporting companies to synopsize business and financial information contained in their annual Form 10-K report. Feldman is quoted, saying “the revision could make annual filings more user-friendly by providing readers the ability to quickly skim the essentials of a company’s financial condition, sort of like a term sheet.” Feldman noted that current rules don’t bar a company from voluntarily including a summary, saying “[y]ou can pop it out and use it as a separate document.”
