Mr. Merrit concentrates his practice in employee benefits and executive compensation matters. He has extensive experience with all aspects of planning, structuring, implementation, and maintaining employee benefit and welfare plans and executive compensation arrangements under federal and state laws. Mr. Merrit also provides benefits counseling in connection with complex financial transactions, including mergers, acquisitions, and divestitures. In addition, he provides ongoing ERISA training programs for clients.
Mr. Merrit has written articles for the online employee benefits newsletter International Foundation for Retirement Education as well as co-authored the Employee Benefits Plans chapter of the treatise "Start-Up & Emerging Companies." He has lectured for the American Management Association's "Fundamentals of Finance for Human Resource Professionals" program through 1999 and is a frequent speaker at industry conferences.
Mr. Merrit received a B.A. in History, with distinction, from the University of Wisconsin, an M.B.A. in Economics from the New York University Graduate School of Business Administration, and a J.D. from Wake Forest University School of Law, where he wrote for the Wake Forest Law Review.
Prior to joining Olshan, Mr. Merrit served as a chairman in the Employee Benefits & Executive Compensation group in the New York office of Winston & Strawn LLP.
REPRESENTATIVE MATTERS
• Employee benefits aspects of the sale of NuCO2 Inc., the leading and only national provider of bulk CO2 products and services to the U.S. fountain beverage industry, Aurora Capital Group. The transaction was valued at approximately $487 million.
• Employee benefits aspects of the $194 million merger of AmCOMP Inc., an insurance holding company, with Employers Holdings, Inc.
• Employee benefits aspects of the $185 million merger of Everlast Worldwide Inc., a leading designer, manufacturer and marketer of boxing and fitness related sporting goods equipment and worldwide licensor of the Everlast brand, with Brands Holding Limited, a wholly-owned subsidiary of Sports Direct International plc, a publicly traded company on the London Stock Exchange.
