Mr. Markovits' practice focuses on corporate finance, securities law matters and general corporate representation. He has represented both issuers and underwriters/placement agents in a wide variety of U.S. and international public offerings and private placements of debt and equity securities, as well as tender offers and exchange offers. He also has experience representing private equity firms and private companies in convertible preferred stock financings and other venture capital transactions. Mr. Markovits' practice includes assisting foreign and domestic public companies in the preparation and filing of '34 Act reports and counseling them on a day-to-day basis in general corporate, corporate governance and securities law matters. Prior to joining the firm, Mr. Markovits was an associate at Skadden, Arps, Slate, Meagher & Flom LLP from September 1998 to August 2006.

REPRESENTATIVE MATTERS
• Represented UrsaMine Credit Advisors LLC in a spin-off by J.P. Morgan Asset Management to UrsaMine of $1.7 billion of loan assets previously managed by Bear Stearns Asset Management (BSAM), including four CLO funds and a commingled unlevered fund.

• Represented an NYSE-listed, Mexico-based global building solutions company in a non-dilutive $1.5 billion public global equity offering.

• Represented several private equity firms in convertible preferred stock investments in private companies.

• Represented a Brazilian rail-based logistics company in a $235 million Rule 144A/Regulation S secondary offering of Units comprised of common shares and preferred shares, and a concurrent 3(a)(9) exchange offer of Units for outstanding preferred shares.

• Represented initial purchasers in a $700 million Rule 144A offering of two series of senior notes by a public pharmaceuticals company.

• Represented an oil tanker company in its $260 million initial public offering and listing on the NYSE.

• Represented NASDAQ-listed telecommunications company in a PIPE offering of ordinary shares and warrants

• Represented a foreign issuer in a modified Dutch Auction global public tender offer for its outstanding appreciation warrants and American Depositary Warrants.

• Represented a private broadband network solutions company in two rounds of convertible preferred stock and warrant financings totaling $45 million.

• Represented underwriters in a registered $490 million secondary common stock offering by several stockholders of a public clinical laboratory company.
