Nina Krauthamer concentrates on federal, state and international tax matters involving public and private corporations, partnerships, limited liability companies and joint ventures, as well as not-for-profit, charitable organizations.
Nina's corporate tax practice focuses on corporate acquisitions, public offerings, private placements of securities and mergers and reorganizations, including IPOs and bankruptcy transactions. Nina also has considerable experience advising and structuring venture capital and hedge funds, as well as sophisticated real estate ventures. Nina has assisted many clients in developing "state of the art" executive compensation programs, including stock option and restricted stock plans.
Nina represents a number of public charities and private foundations, advising on governance and financial matters, including innovative planned giving strategies.
REPRESENTATIVE MATTERS
• Advised a major not-for-profit health care provider on a reorganization in connection with the acquisition of an unrelated provider.
• Advised a major Israeli public charity in its request for U.S. tax exempt status.
• Advised a corporate seller, a large public company, on a sale of assets structured as all cash merger of the corporation into a limited liability company.
