Mr. Hallinan's practice focuses on corporate finance, securities law and general company representation. He has represented a number of issuers in public offerings and private placements. Mr. Hallinan also represents public companies, including assisting public companies in the preparation and filing of '34 Act reports and advising them and their board of directors on corporate governance and securities law issues.

• Represented private equity clients in leveraged acquisition of portfolio companies through stock and asset purchases.
• Represented a Telco in its issuance of over $4 billion of registered common stock, debt, and equity unit issuances pursuant to shelf takedowns and Rule 144A transactions.
• Represented a defense company in capitalization reorganization and IPO.
• Represented web-based mapping company in capitalization reorganization and IPO.
• Represented mezzanine financier in debt restructuring with senior debt.
• Represented issuers in Rule 144A private placements with follow-on exchange offers.
