Employee Benefits

The Employee Benefits Group meets the challenges employers face in connection with the compensation of employees and the planning and administration of employee benefits. The Group assists in the design and drafting of all forms of executive compensation plans, arrangements and programs. We have extensive experience in designing and drafting all types of change in control agreements, retention agreements and severance agreements.

In addition to our expertise in the area of executive compensation, we also design and implement qualified retirement plans of every type. In addition to traditional defined benefit pension plans and defined contribution plans, we create and establish other qualified plans, including 401(k) plans, cash balance plans, age — and service — weighted defined contribution plans, target benefit plans, and Employee Stock Ownership Plans (ESOPs). We work with the Internal Revenue Service, the Department of Labor and the Pension Benefit Guaranty Corporation on closing agreements, audits and investigations. Our group is also highly qualified in identifying special issues and potential problems with employee benefits in corporate and partnership reorganizations and mergers and acquisitions. An important aspect of our practice is following new legislation and regulations and monitoring clients' employee benefits arrangements to maintain compliance with law. We offer training programs on design and administration of all types of retirement plans. Our clients are both private and publicly traded, and large and small entities.

We are experts in the following areas:
  • Executive Compensation
  • Stock Option and Other Equity Based Incentive Plans
  • Nonqualified Retirement Plans
  • Health and Welfare Benefits
  • Fiduciary Issues
  • Benefit issues arising due to and after Mergers and Acquisitions
