Olshan's Corporate Group provides experienced and creative counsel to public and private issuers, underwriters, venture capital firms and others in a variety of capital-raising transactions. Our clients regularly call upon the Corporate Group for our expertise in negotiating mergers and acquisitions, credit facilities and other loan transactions, venture capital financings, buyouts and "going private" transactions, navigating contested proxy solicitations, forming, organizing and advising venture capital, hedge fund and private equity partnerships and other matters requiring sophisticated knowledge of the complex federal and state securities and other laws affecting businesses.
Our representation of issuers includes working as general and special counsel for a large and diverse group of public companies with securities listed on the New York Stock Exchange, the American Stock Exchange and the Nasdaq Global Select, Global and Capital Markets. Clients range from large companies and multinationals to small- and mid-sized issuers.
Our lawyers are well versed in securities law and regulatory compliance. Our lawyers advise issuers in connection with SEC reporting requirements, Sarbanes-Oxley issues, proxy solicitations, general disclosure compliance, including website disclosures, follow-on debt and equity offerings, mergers, acquisition programs, universal shelf offerings, tender and exchange offers, poison pills and officer and director indemnification issues. We have helped our clients successfully complete securities offerings in a wide variety of industries.
Members of our Corporate Group are among the nation's leading experts in advising clients in contested proxy solicitations. We also act as general counsel to a number of privately-held companies, both in connection with their negotiations with private equity and venture capital investors and merger and acquisition candidates and with respect to their daily operating legal needs. Our attorneys regularly work closely with entrepreneurs and management during every stage of the private company lifecycle. We work closely with our other practice groups as necessary, whether guiding with the help of our Tax Group emerging companies through the often-complicated tax law or working with our Employment Practices Group on employment related matters, for example.
