Land & Buildings Reaches Agreement with Ventas, Inc. for Board Representation

Seeking Alpha and Investing.com reported on Olshan client Land & Buildings’ cooperation agreement with S&P 500 real estate investment trust Ventas, Inc. (NYSE: VTR), pursuant to which two new directors—Theodore Bigman and Joe V. Rodriguez, Jr.—were appointed to Ventas’ board effective immediately. Mr. Bigman was appointed to the Investment Committee and Mr. Rodriguez was appointed to the Nominating, Governance and Corporate Responsibility Committee of the Board. Ventas agreed to nominate Messrs. Bigman and Rodriguez for election at the 2024 Annual Meeting and to fix the size of the Board at 12 directors effective upon conclusion of the 2024 Annual Meeting. Shareholder Activism partner Meagan Reda led the Olshan team that represented Land & Buildings, which included associate Ian Engoron.
