Andrew Freedman Quoted in the Deal on How Cybermeeting Delays are Sparking a Debate

Co-Head of Olshan’s Shareholder Activism Practice Andrew Freedman was quoted in The Deal (subscription required) regarding Delaware’s recent decision to allow companies to postpone meetings given the current social restrictions due to the coronavirus pandemic. This decision was made for those who would want to utilize virtual meetings in lieu of the annual physical gatherings.  There are opposing views within the Activist community regarding if this is a good thing.  Andrew gave some insight by emphasizing that just because meetings are allowed to be postponed it doesn’t mean that they should since virtual meetings are an option.  Freedman said, “The world is going to open up, and there will be a push to get towards business as usual.” He concluded his statement by questioning the legitimacy of companies to postpone their meetings by adding, “It will be readily apparent in May and June whether companies are postponing meetings for legitimate or entrenchment reasons.”
