Salkin Authors Articles Addressing Employee Benefits Matters
Barry L. Salkin recently authored two articles addressing matters in the realm of employee benefits. "Addressing the Tip Tax in the CSA with Restaurant Clients" (December 2007 issue of PEO Insider) focuses on tips in the restaurant industry and "The Impact of PEO Arrangements on Business Credits, Deductions, and Other Business Benefits" (NAPEO Legal Review, December 2007) discusses potential difficulties for small businesses using a PEO.

Baron's Reports on IKON Investment
Barron's reported on the investments by Olshan's client Steel Partners in IKON Office Solutions. Olshan represented Steel in the negotiation of a confidentiality agreement intended to allow Steel and IKON to review the feasibility of a recapitalization. The article also discussed Steel's involvement with Bairnco and Stratos International which were also handled by Olshan. Steve Wolosky and Ron S. Berenblat represent Steel in the IKON matter.

Aliza F. Herzberg was interviewed extensively by several media outlets after the verdict of the sexual harassment and retaliatory termination case involving the New York Knicks and Madison Square Garden was announced. She appeared on CNBC's Street Signs, NPR Morning Edition and was also quoted by the New York Daily News.

Salkin, of counsel in the Employee Benefits group, entitled "Deferred Compensation - Final Regs. are Highly Detailed (Part II)" which discusses complex issues in designing flexible nonqualified deferred compensation arrangements that achieve tax deferral under Section 409A.

Gleicher Drafts Will with Successful In Terrorem Clause
Today's New York Law Journal reported a Kings County Surrogate's Court order enforcing provisions in the Will of a late Olshan client that prohibited the Will's beneficiaries from contesting the Will in any way on pain of disinheritance. Judicial opinions on in terrorem clauses are rare. The Will's beneficiaries engaged in discovery outside the statutory protections that allow a beneficiary to undertake a limited investigation of a Will's validity without triggering its in terrorem clause. The Court upheld Olshan's Will and revoked the client's bequest to that beneficiary. Olshan partner Warren R. Gleicher drafted the Will at issue, including the in terrorem clauses, and Olshan associate Jack M. Kint, Jr. represented the executrix on her petition to enforce those clauses.

$112 Million Sale of SoHo Office Building
The New York Law Journal (subscription required) reported on the sale by a joint venture of Kaufman Organization principals George Kaufman and Bob Savitt and private equity real estate firm KBS Real Estate Advisors to Waterman Interests of 130 Prince Street, an office and retail building in Manhattan's SoHo district, for $112 million. The transaction was also reported in The Real Deal. Thomas D. Kearns of Olshan represented the seller.

Reuters Reports on Steel Japan Deals
Reuters reported extensively on the investments in Japan by Olshan's client Steel Partners Japan. Olshan represented SPJ on the tender offers for Japanese circular saw maker, Tenryu Saw Manufacturing Co. Ltd., and sauce maker Bull-Dog Sauce Co. Ltd., as well as with respect to SPJ's other Japanese investments. Steve Wolosky, Kenneth M. Silverman, Ron S. Berenblat and Johnathan Duncan represented Steel in the tender offers.

Goldberg Acquires Building for Museum
The New York Observer reported today on the purchase by The Lower East Side Tenement Museum of a five-story building located in lower Manhattan for $7,000,000. The Museum will use the building to expand its exhibitions of urban immigrant history. The Museum hosts tours of restored apartments that were once the homes of urban working class and poor immigrants in the United States during the 19th and 20th centuries. Real estate partner Eric L. Goldberg and associate Karline N. Wilson represented the Museum pro bono in the acquisition of the property.

Financial Times Covers Steel Japan Deals
An article in The Financial Times (subscription required) featured Steel Partners as one of the better known activist investor currently in business in Japan. After originally setting up a Japan-focused fund in 2002, the hedge fund has invested in various companies ranging from Aderans, maker of hair restoration products to Yushiro Chemical, which makes industrial lubricants. The Olshan team that represents Steel Partners includes Steve Wolosky, Kenneth M. Silverman and Andrew M. Freedman.

Times Reports on Investment by Western
The Fair Game column on the first page of the April 29, 2007 New York Times' Sunday Business Section highlighted the work done by Olshan on behalf of Western Investment LLC, a shareholder in two Neuberger Berman closed end funds. By actively enforcing shareholder rights, Olshan's lawyers were able to help Western increase the dividend the funds were paying, thereby increasing value for all shareholders. Steve Wolosky, Adam W. Finerman and Jason W. Soncini represented Western.

Cooper represented the joint venture between Boston Properties and Robert Gladstone in the acquisition of the assemblage at 8th Avenue and 54/55th Streets in Manhattan and Samuel P. Ross represented the seller of one of the parcels to a joint venture of Related and Boston Properties in the assemblage at 8th Avenue and 45/46th Streets.

Today's New York Sun ran an article by Michael Stoler on the resurgence of the Columbus Circle area in Manhattan. No fewer than four deals handled by Olshan's Real Estate lawyers were discussed: The Sheffield, where we represented the joint venture in the purchase of the Sheffield and in the sale of the retail portion to Hearst Communications; the office building assemblage on 8th Avenue and 54th Street where we represented a joint venture of Boston Properties and Madison Equities in the purchase of the various sites and the sale of 220 Central Park South where we represented the seller to Clarett. Eric L. Goldberg, Thomas D. Kearns, Samuel P. Ross and Hyman Kindler all had leading roles in the various transactions.
