As a partner in Olshan’s Corporate/Securities Law Group, Honghui Yu represents public and private companies and institutional investors in a broad range of transactions, with a particular focus on equity financings.
Honghui advises public and private companies and investors in private placements, public offerings, and mergers and acquisitions. She has extensive experience representing emerging technology companies through different stages of their lifecycle as well as institutional funds and strategic investors in venture capital financings, public offerings, and other financings. Honghui also frequently collaborates with attorneys in the firm’s Real Estate Group in structuring real estate joint ventures and negotiating operating agreements and stockholders agreements. In addition, Honghui regularly advises clients regarding their disclosure obligations under federal securities laws and on corporate governance and stock exchange matters.
Knowledgeable and thoughtful, Honghui always strives to deliver the most effective and efficient results for clients. She brings a strong commercial perspective in counseling clients through complex legal and regulatory issues.
Honghui is fluent in Mandarin Chinese.
- Advising a leading nonprofit institution in a number of equity investments in emerging companies in the life sciences sector.
- Advise a Hong Kong-based investment fund in $135 million convertible note investments in Faraday Future Intelligent Electric Inc.
- Advising a leading independent investment bank as exclusive financial adviser and placement agent for a number of corporate debt financings.
- Advising an institutional fund in a number of equity investments in emerging companies in the alternative energies sector.
- Advised I.D. Systems in its $140 million cash and stock acquisition of Pointer Telocation Ltd., an Israeli public company, and reorganization pursuant to which I.D. Systems and Pointer became wholly owned subsidiaries of PowerFleet, Inc., a new public holding company dual-listed on Nasdaq and the Tel Aviv Stock Exchange.
