A partner in the Bankruptcy & Financial Restructuring Group, Adam H. Friedman represents clients in corporate and real estate restructurings and Chapter 11 cases.

Adam regularly represents creditors, debtors, investors, bondholders, hedge funds, and other investment funds in all aspects of insolvency and bankruptcy proceedings, distressed sales, reorganization transactions, and related matters. Adam regularly represents clients in distressed investing transactions and in connection with commercial and CMBS loan workouts, restructurings and loan sales. Adam has substantial experience in both out-of-court and in-court restructuring matters. He also counsels parties with respect to fiduciary duties, director and officer liability, fraudulent conveyance and similar issues related to corporate transactions and insolvency proceedings.

He is a member of the American Bankruptcy Institute, and is on the Board of Editors of The Bankruptcy Strategist, a leading bankruptcy law publication.

Distressed Investing/Distressed Real Estate
  • Represented investor/purchaser of defaulted mortgage loan in connection with the ultimate acquisition, out of bankruptcy, of a partially built mixed-use building in Queens, New York. Assisted client in contested chapter 11 confirmation proceeding which led to a favorable settlement  under which the client obtained title and authorization to convert the building to condominium. Title was transferred  free and clear of all liens and was exempt from real estate transfer and mortgage recording taxes.
  • Represent owner/builder of luxury townhouses located in Fairfield County, Connecticut, in chapter 11 case. Confirmed contested plan of reorganization under which favorable settlement was achieved, under which the properties are to be sold and lender to be repaid in full satisfaction of its claims against the debtor and third party guarantors. 
  • Represented Team Greene LLC, the senior secured lender by assignment of senior mortgage loan, in connection with the acquisition out of bankruptcy of a 92,000 s.f. mix-use residential and commercial building in Brooklyn, New York.  After filing for relief from the automatic stay, assisted client negotiate a consensual plan of reorganization that transferred title to the building to the client free and clear of mechanics liens and other claims and exempt from real estate transfer and mortgage recording taxes.
  • Represented shopping center owner/borrower in connection with a large CMBS loan restructuring and loan sale transaction between client, rescue finance partner and the special servicer.
  • Represented investors in pre-packaged Chapter 11 case of Isologen, Inc., which restructured approximately $90 million of debts and issued registration exempt "equity for debt" securities under the Plan.
  • Represented joint venture in connection with its acquisition of 100-104 Fifth Avenue from the bankruptcy estate of Rock US Holdings Inc.
  • Represented purchaser of a $60 million real estate loan against hotel debtor in bankruptcy and foreclosure proceedings.

  • Represents Novation Companies, Inc. and affiliates as chapter 11 Debtors.
  • Represent owner/builder of luxury townhouses located in Fairfield County, Connecticut, in chapter 11 case.   • Represents F&H Acquisition Corp and its affiliates , the owners of the Fox and Hound, Bailey’s Sports Grille and Chammps restaurant chains in their chapter 11 proceedings.
  • Represented Madison 92nd Street Associates, LLC, the owner of a 226-room hotel in Manhattan, in its Chapter 11 case in connection with the sale of the hotel and confirmation of a Chapter 11 plan.
  • Represented public gaming company with negotiations and out-of-court restructuring of bond debt.
