ROBERT H. FRIEDMAN
Partner / New York
Mr. Friedman's practice focuses on corporate finance, mergers and acquisitions and general business counseling. He has extensive experience representing public and private issuers of debt and equity securities, purchasers and sellers in mergers, stock and asset transactions, and investment funds in their formation, capital raising and investment transactions. Mr. Friedman also has significant experience in the representation of investment banks in their role as underwriters in public offerings, placement agents in private placements and advisors in merger and acquisition transactions. His expertise also includes counseling corporate clients in corporate planning and structuring activities, corporate governance matters, contract negotiations, dealings with stock exchanges and public company compliance matters.
REPRESENTATIVE MATTERS
• Represented GlobalOptions Group, Inc. in separate self tender offers for 7,500,000 shares of its common stock in April, 2011 and for 10,000,000 shares of its Common Stock in December, 2010.
• Represented Empire Resorts, Inc. in a registered rights offering to its stockholders during 2011.
• Represented GlobalOptions Group, Inc. in the separate sales of its four operating units during 2010.
• Represented Rodman & Renshaw as underwriter in the filing of a registration statement for the public offering of common stock for Castlerock Security Holdings, Inc. in November, 2010.
• Represented Empire Resorts in a bridge financing with its largest stockholder, Kien Huat Realty, during 2010.
• Represented Scerene Healthcare, Inc. in multiple rounds of venture financing through January, 2010 through Aisling Capital.
• Represented Xinhua Finance Ltd. in the sale of its Market News International subsidiary to Deutsche Borse in January, 2009.
• Represented Everlast Worldwide Inc. in its merger with Brands Holding Limited, a wholly-owned subsidiary of Sports Direct International plc, a publicly traded company on the London Stock Exchange.
