Ken represents both publicly-traded and privately-held companies in a variety of transactional and securities matters, including mergers and acquisitions, public offerings, private placements and tender offers. Ken also advises publicly-traded companies regarding the preparation and filing of '34 Act reports and other securities law compliance issues, as well as general corporate and governance matters. Additionally, he has experience drafting and negotiating employment and severance agreements on behalf of employers and executives.
REPRESENTATIVE MATTERS
• Represented Ness Technologies, Inc., a global provider of information technology solutions and services listed on the Nasdaq Global Select Market and the Tel Aviv Stock Exchange, in connection with its merger with an affiliate of Citi Venture Capital International, a global private equity investment fund.
• Represented The LGL Group, Inc., a holding company with subsidiaries engaged in the design, manufacture, and sale of standard and custom engineered electronic components listed on NYSE Amex, in connection with an underwritten public offering of its common stock.
• Represented a privately-held environmental services company in connection with its acquisition of an owner and operator of a biodiesel production facility, and subsequent private placements.
• Represented CorMedix Inc., a NYSE Amex-listed pharmaceutical company focused on developing and commercializing therapeutic products for the treatment of cardiorenal disease, in connection with its initial public offering.
